an individual other than a director:

1. (a) who is employed by:
   1. (i) a firm or safeguarding institution; or
   2. (ii) a body corporate within a group of which the firm or safeguarding institution is a member;
2. (b) to whom the governing body of the firm or safeguarding institution, or a member of the governing body of the firm or safeguarding institution, has given responsibility, either alone or jointly with others, for management and supervision;
3. (c) who, if the individual is employed by the firm, reports directly to:
   1. (i) the governing body; or
   2. (ii) a member of the governing body; or
   3. (iii) the chief executive; or
   4. (iv) the head of a significant business unit; and
4. (d) who, if the individual is employed by a body corporate within the group, reports directly to a person who is the equivalent of a body or person referred to in (c).
